2. Scope of Services & SOWs

Rayaxis provides bespoke digital engineering and consulting services. Every commercial client engagement is governed by a formalized Statement of Work (SOW) or Retainer Agreement detailing:

• Project scope, milestones, sprint cadences, and functional specifications.
• Design acceptance criteria, code review requirements, and delivery artifacts.
• Commercial payment terms, milestone releases, and currency schedules.

3. Intellectual Property Rights & Code Ownership

We believe in total transparency and complete client ownership:

• 100% Client Ownership upon Settlement:Upon full payment of agreed project invoices, all custom source code, documentation, UI/UX design assets, databases, and proprietary workflows created specifically for the client become the sole and exclusive intellectual property of the client.
• Open-Source Components:Any third-party or open-source libraries (e.g., React, Next.js, Flutter, TailwindCSS) incorporated into the project remain subject to their respective open-source licenses (such as MIT or Apache 2.0).

4. Invoicing, Payments & Milestones

Unless otherwise specified in an active SOW:

• Fixed-price projects are invoiced against mutually approved delivery milestones.
• Retainer and dedicated engineering staff are invoiced on a monthly or bi-weekly cycle.
• Payments are accepted via international wire transfer (SWIFT), credit card, or approved enterprise payment gateways.

5. 30-Day Warranty & Quality Guarantee

Every custom software project delivered by Rayaxis includes a complimentary 30-day post-launch warranty period starting from the official production deployment date.

During this period, our technical leads will fix any reproducible bugs, inconsistencies, or deviations from the agreed specifications at zero additional charge.

6. Confidentiality & Non-Disclosure

Both parties agree to protect and maintain the confidentiality of all proprietary technical, business, and financial information disclosed during the engagement. Rayaxis will never disclose client trade secrets or confidential product logic to any third party.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Rayaxis Technologies be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use or inability to use delivered software or third-party cloud infrastructure failures.

8. Governing Law & Inquiries

These terms are governed by and construed in accordance with the laws of Nepal, with international commercial arbitration provisions as stipulated in individual client master service agreements.
